Governing Enterprises by Law and Promoting High Quality Development of Enterprises

On July 17, 2019, a delegation led by Sheng Huiqin, a member of the Standing Committee of the Municipal Party Committee and Secretary of the Political and Legal Affairs Commission, leaders of the Municipal Judicial Bureau, Secretary of Baidian Town, and Judicial Secretary of Baidian Town, visited our company to investigate the situation of "governing enterprises in accordance with the law". The following is the report content of our company:

Good afternoon, leaders!

Let me first introduce myself. My name is Zhou Baohua and I am currently the Chairman of Jiangsu Zhongkuang Heavy Equipment Co., Ltd. The company was established in 2003 and currently has 456 employees, covering an area of 63000 square meters. Our company mainly produces mining machinery and port machinery, with 45 core independent intellectual property rights, and is a national level high-tech enterprise. Our company has established the concept of governing the enterprise with the law, promoting high-quality development of the enterprise, and putting people first and green development. With the concept of the rule of law, we have set up the company's general articles of association, established a legal work team led by myself, appointed Comrade Xu Wei as the head of our company's legal department, and cooperated with multiple law firms. We have successively formulated various modern enterprise systems such as party work, rule of law publicity, safety production, and trade unions, Promoted high-quality development of the enterprise.

Below, I will introduce the relevant work of the company in creating an honest and law-abiding enterprise from three aspects:

1、 Integrating Germany and France to Create a Good Atmosphere of Integrity and Law-abiding

(1) Establish a comprehensive mechanism

Since its establishment, the company has always adhered to the concept of governing the enterprise according to law, based on the establishment of mechanisms, and with management innovation as its goal, and has formulated a series of company management systems, covering more than 20 aspects of the company. In order to adapt to the new development period and achieve fast and good development of the company, this year, a special "Internal Control Management System" has been formulated.

In 2016, under the guidance of the town's legal governance leadership group, our company established a legal department as required, established a company's legal leadership group, specifically hired professional legal advisors, and established multiple modern enterprise systems. In 2019, our company held one employee representative meeting, one board meeting to study legal popularization, and one meeting to solve the problem of enterprise legal construction. We also conducted one rule of law study for enterprise management personnel, two times for employee legal popularization, and seven times for updating the legal publicity column.

(2) Accompanied by Taoism and Dharma

For many years, the company has adhered to the principle of combining moral and legal education, and has invited or organized employees to participate in moral model lectures, moral lectures, and other activities. Employees have developed a good habit of helping others. This year, our company has invited a legal education expert to give a lecture and opened an ethics lecture, with over 400 educated employees.

Our company signs labor contracts with employees under the guidance of the town's social security department. Under the guidance of the town's legal governance leadership group, carry out legal education activities for employees, establish two dedicated legal publicity columns, and arrange legal publicity content according to the unified requirements of superiors based on the actual situation of the company. Our company adheres to the integration of morality and law, and the rule of law in enterprise governance, and has gained a good reputation as a company. It has received strong praise from various parties when domestic and foreign merchants come to inspect.

(3) Take pride in goodness

Our company actively undertakes corporate social responsibility and attracts people with disabilities and surrounding labor to work in the enterprise. Currently, a total of 38 people with disabilities have been recruited to work in the company, and the employment of people with disabilities is among the top in the town; Engaged in charitable causes and donated 100000 yuan in 2019.

2、 Green sharing, everyone has a responsibility to build a beautiful home together

(1) Green development

Our company is a machinery manufacturing enterprise that adheres to the concept of green development, continuously increasing capital investment, improving the factory environment, employee accommodation and living conditions, and employee cafeteria environment. The company insists on investing more than 5% of its sales revenue in research and development every year, upgrading and transforming various products. Efficiency, energy conservation, environmental protection, and intelligence have always been the fundamental concepts of our research and development.

(2) Home Ideal

Our company has the third level qualification for environmental protection professional contracting issued by the Provincial Department of Construction, and the first level qualification for air pollution control design, second level qualification for sewage treatment design, second level qualification for solid waste treatment design, first level qualification for air pollution treatment construction, second level qualification for sewage treatment construction, and second level qualification for solid waste treatment construction issued by the Provincial Environmental Protection Association. We have provided environmental protection services to many well-known enterprises in China, Our company has provided desulfurization, denitrification, dust removal, VOCs management and other services to Lianfa Group, a local enterprise in Haian.

In 2017, in accordance with the requirements proposed in the latest environmental impact assessment, our company designed and applied a 12mX10mX8m mobile environmental protection paint spraying room based on our own actual situation. After multiple tests by Qingshan Lvshui Environmental Protection Testing Company, all of them met the national emission standards.

Our company builds hazardous waste warehouses, establishes hazardous waste accounts, and signs treatment agreements with hazardous waste treatment companies in accordance with environmental requirements. We implement the ideal of a green home in every aspect and every day in accordance with environmental requirements, ensuring that our vigilance is not relaxed every minute.

(3) Everyone has a responsibility

Green environmental protection is not just empty talk. Our company has signed an environmental responsibility agreement with every employee, adhering to the implementation of environmental protection concepts in all departments and links, and synchronizing environmental governance with production. Every employee is the owner of the company, and they have the right to find out if environmental governance is inadequate, and require each responsible person to rectify it as soon as possible and accept the supervision of all employees.

3、 Propaganda and education co construction to consolidate the foundation of legal governance work

(1) Safety first

The company has established a dedicated safety production supervision department, actively participating in various activities organized by the town safety supervision department, and cooperating with the safety inspection department to carry out various safety production inspections in the company. In 2018, I underwent 7 safety inspections from superiors and organized 7 self inspections. In the past few years, the company has not experienced any major safety production responsibility accidents.

(2) Practice and Law

In recent years, the company has strengthened its legal consultation mechanism in project decision-making and operation, striving to prevent and control legal risks from the source. Track changes in the domestic legal environment before major business and investment project decisions and operations, and proactively propose research and argumentation on major legal issues in the early stages of the project based on the characteristics of the project, providing support for project decision-making.

China is a country governed by the rule of law, and the development of our company cannot be separated from the support of the rule of law. As an enterprise transitioning to EPC general contracting, the company focuses on improving the legal risk mechanism, legal advisory system, and legal management system in the capital market. The legal review of company rules and regulations, economic contracts, and important decisions reaches 100%. In the gradual transformation process in the future, it is necessary to continuously strengthen the awareness of legal risk prevention, continuously improve the level of legal risk prevention and control, adhere to the rule of law in enterprise governance, and prevent legal risks.

(3) Abide by regulations and laws

The company takes the lead in complying with regulations and laws. This year, our company signed labor contracts, paid social insurance, and housing provident fund with 156 employees in accordance with the relevant provisions of the Labor Law and Contract Law, safeguarding their legitimate rights and interests.

I firmly believe that Jiangsu Zhongkuang Heavy Equipment Co., Ltd. will govern the enterprise with the law and promote high-quality development of the enterprise.
